Ruled in favour of Shri Krishan Baldev Bansal (Appellant)
In Short
An electronics partnership business ran into trouble and left a heavy bank loan unpaid. One partner's father, who had acted as a guarantor, paid the entire bank debt out of his own pocket to save the property. When an arbitrator ordered the other partners to repay their shares, a lower court threw the award out, leading to this final appeal.

What the Case Was About
Back in 2004, two families set up a partnership business in Delhi to sell electronic goods. To run the shop, they took a large cash-credit loan of twenty-five lakh rupees from Union Bank of India. One of the partners' fathers stood as a guarantor and put up his personal property as security. The business eventually closed down, leaving a massive unpaid balance of nearly twenty-four lakh rupees with the bank.
When the bank threatened action, the guarantor paid the entire remaining amount of nearly twenty-three lakh ninety thousand rupees from his own savings to settle the account. He then demanded that his business partners pay him back their fair shares of that debt. An arbitrator agreed with him, but the opposing partners challenged that decision in a district court, arguing that a simple loan repayment could not be singled out without settling every single account and asset of the old partnership first. The district court agreed and set aside the award, forcing the guarantor to bring the matter up to the High Court.

The Outcome
The court ruled in favour of the appellant, setting aside the lower court's interference and restoring the original arbitral award that directs the other partners to pay their share.
What the Court Looked At
- The court noted that the partnership firm undeniably took the cash-credit loan from Union Bank of India.
- It observed that the appellant paid the full settlement amount using his own funds as a guarantor to clear the bank liability.
- It checked that both sides clearly agreed during the arbitration hearings to narrow the dispute down solely to this specific bank payment.
- It rejected the idea that the payment was made for the appellant's personal benefit rather than for the firm.
"The partnership firm had availed the cash-credit facility, the Bank had raised a demand, and the Appellant had deposited the amount from his own funds towards discharge of the said liability."
What This Means For You
When you step up to clear a joint business debt or a bank loan as a guarantor, do not assume your business partners will easily reimburse you just because you saved the day. In this case, the guarantor spent a huge sum to protect his property from the bank, only to face years of legal resistance from partners who insisted on dragging out full partnership accounts first. If you pay off a shared liability, clear written agreements and proper legal steps regarding how you will get your money back are vital. Do not rely on informal understandings or assume that paying a debt automatically triggers quick repayment from others. Setback Solutions can help you understand your options and coordinate your next steps in plain language without any legal jargon.
